Welcome to the Lightwell and Ledger website. These Terms and Conditions ("Terms") govern your access to and use of the website located at home-ceo.ai (the "Site"), owned and operated by Home CEO LLC (doing business as Lightwell and Ledger), a Massachusetts limited liability company ("Lightwell and Ledger," "we," "us," or "our"). By accessing or using the Site, you ("you" or "User") agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

These Terms apply to all visitors, users, and others who access or use the Site, whether or not they become clients of Lightwell and Ledger. Separate engagement terms apply to clients who enter into a Professional Property Advisory Services Agreement with Lightwell and Ledger.

1. About Lightwell and Ledger

Home CEO LLC (doing business as Lightwell and Ledger) is a flat-fee, conflict-free residential property advisory practice serving homeowners in the greater Boston area, including Newton, Wellesley, and Brookline, Massachusetts. Lightwell and Ledger provides property assessment, advisory recommendations, vendor benchmarking, capital expenditure planning, and ongoing homeownership guidance.

Lightwell and Ledger is not a licensed home inspection company, licensed real estate brokerage, licensed financial advisory firm, licensed insurance agency, law firm, engineering firm, general contractor, or property management company. Lightwell and Ledger does not perform physical maintenance, repair, or construction work. Lightwell and Ledger does not hold, manage, or have custody of client funds.

2. Acceptance of Terms

By accessing the Site, submitting any form, using any interactive tool (including but not limited to the Home Health Check, discovery call booking, or contact forms), or otherwise engaging with the Site's content, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (Section 11 below). If you are using the Site on behalf of a household, you represent that you have the authority to bind all members of that household to these Terms.

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site following the posting of changes constitutes your acceptance of those changes. We encourage you to review these Terms periodically.

3. Site Content Is for Informational Purposes Only

3.1 General Disclaimer. All content on this Site — including text, data, graphics, scores, benchmarks, projections, cost estimates, articles, guides, and interactive tool outputs — is provided for general informational and educational purposes only. Nothing on this Site constitutes, or is intended to constitute:

Licensed home inspection advice or reporting

Licensed financial, investment, tax, or accounting advice

Licensed legal advice or legal opinion

Licensed real estate appraisal, brokerage, or valuation services

Licensed insurance advice or coverage recommendations

Licensed engineering or architectural assessment

A warranty, guarantee, or certification of any property's condition, value, or systems

3.2 No Reliance. You should not rely on any content on this Site as a substitute for professional advice from a licensed home inspector, attorney, certified public accountant, financial advisor, real estate appraiser, licensed engineer, or other qualified professional. You are solely responsible for evaluating the accuracy, completeness, and usefulness of any information provided on this Site and for any actions you take based on such information.

3.3 No Guarantees. Lightwell and Ledger does not guarantee or warrant: (a) that any information on the Site is accurate, complete, current, or error-free; (b) any specific financial savings, property value outcome, cost estimate, or return on investment; (c) the quality, reliability, timeliness, or performance of any third-party vendor, contractor, or service provider referenced on the Site; or (d) the remaining useful life, condition, or performance of any building system, component, or material discussed or analyzed on the Site.

3.4 Home Score and Interactive Tools. The Home Score, Home Health Check, and any other scoring, assessment, or interactive tools available on the Site are proprietary advisory frameworks designed to organize information and provide general educational guidance. They are not certified inspections, licensed appraisals, engineering assessments, or warranties of condition. Scores and outputs generated by these tools are based on general assumptions and limited user-provided inputs; they do not reflect a physical examination of any property and should not be treated as a substitute for a professional assessment. A property that scores favorably may still have undisclosed defects or systems at risk of failure. A property that scores unfavorably may be in better condition than the tool's output suggests.

4. Intellectual Property

4.1 Ownership. All content, features, and functionality on the Site — including but not limited to the Home Score methodology, scoring algorithms, the Five Invisible Taxes framework, benchmark databases, assessment frameworks, report templates, text, graphics, logos, icons, images, audio, video, data compilations, software, and the design, selection, and arrangement thereof — are the exclusive property of Home CEO LLC (doing business as Lightwell and Ledger) or its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

4.2 Trademarks. "Lightwell and Ledger," "Home Score," the Lightwell and Ledger logo, and all related names, logos, product and service names, designs, and slogans are trademarks or service marks of Home CEO LLC (doing business as Lightwell and Ledger). You may not use these marks without the prior written permission of Home CEO LLC (doing business as Lightwell and Ledger). All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

4.3 Limited License. Subject to these Terms, Lightwell and Ledger grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. This license does not include the right to: (a) modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content, information, software, products, or services obtained from the Site; (b) use any data mining, robots, scraping, or similar automated data-gathering or extraction methods on any Site content; (c) use the Site or its content for any commercial purpose, including building a competing advisory service; or (d) download, copy, or store any substantial portion of the Site content.

4.4 User Feedback. Any feedback, suggestions, ideas, or other information you provide to Lightwell and Ledger regarding the Site or services is non-confidential and becomes the sole property of Home CEO LLC (doing business as Lightwell and Ledger). Lightwell and Ledger may use, reproduce, disclose, and distribute such information without restriction or compensation to you.

5. User Conduct and Prohibited Uses

You agree not to use the Site:

In any way that violates any applicable federal, state, local, or international law or regulation;

To transmit any advertising, promotional material, spam, or unsolicited communications;

To impersonate or attempt to impersonate Lightwell and Ledger, a Lightwell and Ledger employee, another user, or any other person or entity;

To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm Lightwell and Ledger or users of the Site;

To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;

To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;

To use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site;

To reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site, use of the Site, or access to the Site without the express written permission of Home CEO LLC (doing business as Lightwell and Ledger).

6. Form Submissions and User-Provided Information

6.1 Accuracy. If you submit information through any form on the Site — including the Home Health Check, discovery call booking form, contact form, or property assessment intake — you represent that the information you provide is accurate, complete, and current to the best of your knowledge. Lightwell and Ledger is not responsible for any inaccurate or incomplete results, recommendations, or communications resulting from inaccurate information you provide.

6.2 No Obligation. Submitting a form on this Site does not create a client relationship, advisory engagement, or contractual obligation between you and Lightwell and Ledger. A client relationship is established only upon the execution of a signed Professional Property Advisory Services Agreement.

6.3 Communications Consent. By submitting a form on the Site, you consent to receive communications from Lightwell and Ledger related to your inquiry, including by email, telephone, and text message, at the contact information you provide. You may opt out of non-essential communications at any time by contacting us directly. Standard message and data rates may apply to text messages.

7. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Lightwell and Ledger. Lightwell and Ledger has no control over, and assumes no responsibility for, the content, privacy policies, practices, availability, or accuracy of any third-party websites or services. You acknowledge and agree that Lightwell and Ledger is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or services.

The inclusion of any link on the Site does not imply endorsement, approval, or affiliation by Lightwell and Ledger. We encourage you to read the terms and conditions and privacy policy of every third-party website you visit.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, FEATURES, TOOLS, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Home CEO LLC (doing business as Lightwell and Ledger) DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Lightwell and Ledger does not warrant that: (a) the Site will be available, uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Site or any tools, including the Home Score or Home Health Check, will be accurate, reliable, or complete; (c) any defects or errors in the Site will be corrected; or (d) the Site or the servers that make it available are free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the foregoing exclusions may not apply to you. In that case, the exclusions will apply to the fullest extent permitted by applicable law.

9. Limitation of Liability

9.1 Aggregate Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Home CEO LLC (doing business as Lightwell and Ledger), ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE TO YOU FOR ANY AMOUNT EXCEEDING ONE HUNDRED DOLLARS ($100.00) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE.

9.2 Consequential Damages Waiver. IN NO EVENT SHALL Home CEO LLC (doing business as Lightwell and Ledger) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF PROPERTY VALUE, LOSS OF DATA, LOSS OF GOODWILL, COST OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE; (B) ANY CONTENT, TOOLS, OR INFORMATION OBTAINED FROM THE SITE; (C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY REFERENCED ON THE SITE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR INFORMATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT LIGHTWELL AND LEDGER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, the foregoing limitation shall apply to the fullest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Home CEO LLC (doing business as Lightwell and Ledger), its members, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any claim that information you provided through the Site caused damage to a third party; or (e) any action taken by you based on information, scores, recommendations, or content obtained from the Site.

11. Privacy Policy

11.1 Information We Collect Through the Site

When you visit the Site or submit a form, we may collect:

Information you provide directly (name, email, phone number, property address, responses to assessment questions)

Usage data collected automatically (IP address, browser type, operating system, referring URLs, pages viewed, time spent on pages, date and time of visits)

Cookies and similar tracking technologies as described in Section 11.5 below

11.2 How We Use Your Information

We use information collected through the Site to:

Respond to your inquiries and communicate with you about our services

Schedule and prepare for discovery calls and property assessments

Generate Home Health Check scores and related outputs based on your inputs

Improve, personalize, and optimize the Site and our services

Monitor and analyze Site usage trends and performance

Protect against, identify, and prevent fraud, abuse, and other harmful activity

Comply with legal obligations and enforce our Terms

11.3 How We Share Your Information

We do not sell, rent, or share your personal information with third parties for their marketing purposes. We may share your information only in the following limited circumstances:

Service Providers: With third-party service providers who perform services on our behalf (e.g., website hosting, email delivery, analytics), subject to confidentiality obligations.

Form submission data is retained for up to two (2) years unless you request earlier deletion.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Middlesex County, Massachusetts, and you consent to the personal jurisdiction and venue of such courts.

13. Dispute Resolution

13.1 Informal Resolution. Before filing any formal legal claim, you agree to contact Lightwell and Ledger at the address provided in Section 16 and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved quickly and to your satisfaction through direct communication.

13.2 No Class Actions. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND LIGHTWELL AND LEDGER AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this dispute resolution section shall be null and void.

14. Copyright Infringement and DMCA Notices

If you believe that any content on the Site infringes upon your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing the following information in writing to our designated agent:

A physical or electronic signature of the copyright owner or a person authorized to act on their behalf

Identification of the copyrighted work claimed to have been infringed

Identification of the material on the Site that is claimed to be infringing, with sufficient detail to allow us to locate it

Your contact information (address, telephone number, and email address)

A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law

A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner

DMCA notices should be sent to the contact information provided in Section 16.

15. Miscellaneous

15.1 Entire Agreement. These Terms, together with the Privacy Policy incorporated herein, constitute the entire agreement between you and Lightwell and Ledger regarding your use of the Site. These Terms do not alter the terms of any separate Professional Property Advisory Services Agreement between you and Lightwell and Ledger.

15.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver. The failure of Lightwell and Ledger to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment. Lightwell and Ledger may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.

15.5 Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.

15.6 Survival. Sections 3 (Site Content Disclaimer), 4 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 11 (Privacy Policy), and 12 (Governing Law) shall survive any termination or expiration of these Terms.
